Terms of Service

By registering for, accessing, or using the Corlix platform, website, API, or any associated applications (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be strictly bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all visitors, users, and others who access or use the Service. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms. If you do not agree to any part of the terms, you must not access the Service. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Service signifies your acceptance of the updated Terms.

To ensure full compliance with the laws of England and Wales, we distinguish between two categories of users. You are classified as a Business User if you use the Service for any purpose relating to your trade, business, craft, or profession. This includes, but is not limited to, Sole Traders, Limited Companies, Landlords, Fleet Operators, and Freelancers. By using the Service as a Business User, you explicitly acknowledge that the Consumer Rights Act 2015 does not apply to this agreement, and our liability is strictly limited by the business terms outlined herein.

You are classified as a Consumer User only if you use the Service wholly for personal, private, and non-commercial purposes. As a Consumer User, you retain specific mandatory rights under UK Consumer Law that cannot be contractually excluded. However, should you use the Service for a mix of personal and business purposes, you agree that the Business User terms shall apply to your entire use of the Service.

To access the functional features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are strictly prohibited from misrepresenting your identity or your affiliation with any person or entity.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately via our support channels upon becoming aware of any breach of security or unauthorized use of your account. We will not be liable for any loss or damage arising from your failure to comply with this section. We reserve the absolute right to disable any user account at any time if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

The Service is billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Our order process is conducted by our authorized reseller and Merchant of Record, Lemon Squeezy. By purchasing a Subscription, you agree to comply with Lemon Squeezy's Terms of Service and Privacy Policy in addition to these Terms.

Automatic Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Corlix cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

Fee Changes: We reserve the right to modify Subscription fees at any time. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

For Business Users: Subscriptions are strictly non-refundable. You may cancel your Subscription at any time, but you will not receive a refund or credit for any unused portion of the term. Your access to premium features will continue until the end of the current billing period.

For Consumer Users (Right of Withdrawal): Under the Consumer Contracts Regulations 2013, consumers typically have a right to cancel online contracts within 14 days. However, by registering for Corlix and accessing the digital content (including the dashboard and certificate upload tools), you explicitly request immediate access to the Service. You acknowledge and agree that by accessing the Service, you lose your 14-day right of withdrawal. You may still cancel your subscription at any time to prevent future renewal.

Chargebacks: You agree to contact Corlix Support prior to raising a dispute with your bank. If you initiate a chargeback or payment dispute that is found to be invalid, we reserve the right to permanently ban your account and pursue legal action to recover lost funds and administrative costs.

You agree not to use the Service in any manner that violates any national or international law or regulation. Specifically, you must not use the Service to upload fraudulent documents, malware, viruses, or harmful code. You must not attempt to reverse engineer, decompile, disassemble, or extract source code from the Service, nor scrape, mine, or harvest data automatically.

You agree not to interfere with or disrupt the integrity or performance of the Service or the data contained therein. Sharing account credentials with multiple individuals to circumvent seat licensing or user limits is strictly prohibited. We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Corlix and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Corlix. Nothing in these Terms gives you a right to use the Corlix name or any of the Corlix trademarks, logos, domain names, and other distinctive brand features.

If you provide us with any feedback, suggestions, bug reports, or improvements regarding the Service ("Feedback"), you hereby assign to Corlix all rights, title, and interest in and to such Feedback. Corlix shall be free to use, copy, modify, publish, or redistribute the Feedback for any purpose and in any way without any credit or any compensation to you. You acknowledge that you have no expectation of confidentiality or payment with respect to any Feedback you provide.

You retain all rights to any data, files, or information ("User Content") you upload to the Service. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, and display such Content solely as necessary to provide the Service to you (e.g., to display your certificates in your dashboard and generate reminders).

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit. You further warrant that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights. Corlix reserves the right, but not the obligation, to review and remove any User Content that violates these Terms.

For Business Users

To the maximum extent permitted by applicable law, in no event shall Corlix, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. Our total cumulative liability to you for any claims arising out of or relating to these Terms or your use of the Service is strictly limited to the amount you paid us in the twelve (12) months preceding the claim.

For Consumer Users

If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen. We are not responsible for any loss or damage that is not foreseeable. We are not liable for business losses. If you use the Service for any commercial purpose, the liability limits for Business Users will apply.

You agree to defend, indemnify, and hold harmless Corlix, its operator, licensees, licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, your violation of any term of these Terms, or your violation of any third-party right, including without limitation any copyright, property, or privacy right. This indemnification obligation will survive these Terms and your use of the Service.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account from the dashboard settings. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Force Majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Corlix regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the courts of England and Wales. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
